Minutes serve as the official (and legal) record of the meeting of the board of directors. They are presumed to be correct and are considered legal evidence of the facts they report. Thus, they should consist of a clear, accurate, and complete report of all business transacted and should be worded in a manner that is simple and unambiguous. Minutes of the every meeting (Annual/Board or committees) is required to be entered into minutes books within the stipulated period mentioned in the Companies Act, 2013. Failure to do so will attract the penalty which shall not be less than twenty-five thousand rupees but which may extend to one lakh rupees and shall be punishable with imprisonment for a term which may extend to two years and with fine.
